1. General

1.1 We reserve the right to change these terms and conditions at any time. Any such changes will take effect when posted on the website (see date at the top) and it is your responsibility to read the terms and conditions on each occasion you use this website and your continued use of the website shall signify your acceptance to be bound by the latest terms and conditions.

1.2 If you are not a consumer, you confirm that you have authority to bind any business on whose behalf you use this website

1.4 Certain website services will require registration and subsequent access to those services will be subject to an approved login name and password ("Password Details"). All Passwords Details are accepted and may be withdrawn at our sole discretion and are exclusive to you and non-transferable and must be treated as strictly confidential at all times. 2. Order process

2.1 Please see the information section for information on how to place an order. All orders that you place on this website will be subject to acceptance in accordance with these terms and conditions.

2.2 The 'confirmation' stage sets out the final details of your order. Following this, we will send to you an order acknowledgement email detailing the products you have ordered. Please note that this email is not an order confirmation or order acceptance from Speedcrete.

2.3 Acceptance of your order and the completion of the contract between you and us will take place on despatch to you of the products ordered unless we have notified you that we do not accept your order or you have cancelled it (please refer to Returns and refunds).

2.4 We do not file details of your order for you to subsequently access direct on this website, and therefore, please print out these terms and conditions and the order acknowledgement for your own records. If you wish to obtain specific details of your previous orders please Contact Us.

3. Delivery

3.1 This website is for delivery of products to customers in mainland UK and Northern Ireland Isle of Scilly & Isle of Man. We can ship abroad subject to confirmation of applicable shipping charges.
All goods must be signed for by an adult aged 18 years or over on delivery.

3.2 Delivery charges and estimated timescales are specified when you place an order. We make every effort to deliver goods within the estimated timescales, however delays are occasionally inevitable due to unforeseen factors. Speedcrete shall be under no liability for any delay or failure to deliver the products within estimated timescales.

3.3 Risk of loss and damage of products passes to you on the date when the products are delivered to you or are left with a person or place nominated by you.

4. Payment

4.1 We take pre-authorisation from your card or PayPal account at the time we receive your order, once we have checked your card or PayPal details and stock availability. Goods are subject to availability. Payment is taken at point of dispatch. In the event that we are unable to supply the goods, we will inform you of this as soon as possible. A full refund will be given where you have already paid for the goods. 4.2 To ensure that your credit, debit, charge card or PayPal account is not being used without your consent, we will validate name, address and other personal information supplied by you during the order process against appropriate third party databases. By accepting these terms and conditions you consent to such checks being made. In performing these checks personal information provided by you may be disclosed to a registered Credit Reference Agency which may keep a record of that information. You can rest assured that this is done only to confirm your identity, that a credit check is not performed and that your credit rating will be unaffected. All information provided by you will be treated securely and strictly in accordance with relevant data protection laws.

4.3  Online price errors. If we discover an error in the price of goods ordered or reserved, we will inform you as soon as possible (e.g. prior to the goods being despatched or in store prior to the collection of the goods). We will provide you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled. If you choose to cancel and have already paid for the goods you will receive a full refund.

4.4 Payment can be made by any method specified in How to use this website. For information about secure online ordering see Security.

4.5 Title to any products you order on this website shall pass to you on delivery of the products provided that we have processed and received payment in full for the products.

4.6 All prices are shown in £s sterling but exclude delivery charges, unless expressly stated otherwise (see Delivery information for further details including Express delivery charges).

4.7 **The price of products can be changed more than once. By 'original price' we mean the original price displayed online on Speedcrete.co.uk or in the most recent, printed version of the full Speedcrete catalogue (where the product was featured).

5. Returns, Cancellations and Substitutions

5.1 Please refer to Returns and refunds. In the unlikely event that you receive faulty or damaged goods, please refer to our Returns and refunds section.

5.2 Sometimes the product specifications from the manufacturer may change, in which case we will do our best to offer you a similar alternative. We may experience problems with the supply of certain products and may therefore supply a substitute of the same or better quality at the same price. If you are not happy with the replacement or substitute you can return it. Where applicable, you may cancel your order in accordance with your rights under the Consumer Contracts Regulations 2013 and the Consumer Rights Act 2015. If you wish to reject the goods you have a duty to return all rejected goods to one of our depots. 7. Liability and Indemnity

7.1 Nothing in these terms and conditions excludes or limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability which may not otherwise be limited or excluded under applicable law.

7.2 Subject to Section 7.1 above, Speedcrete will use reasonable endeavours to verify the accuracy of any information on the site but makes no representation or warranty of any kind express or implied statutory or otherwise regarding the contents or availability of the site or that it will be timely or error-free, that defects will be corrected, or that the site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy, reliability of the website Speedcrete will not be responsible or liable to you for any loss of content or material uploaded or transmitted through the website and Speedcrete accepts no liability of any kind for any loss or damage from action taken or taken in reliance on material or information contained on the site.

7.3 Subject to Section 7.1 above, other than as expressly provided in these terms and conditions with respect to specific products and except for the exclusive remedies set out at Section 5 above, any indemnities, warranties, terms and conditions (whether express or implied) are hereby excluded to the fullest extent permitted under applicable law.

7.4 Subject to Section 7.1 above, Speedcrete will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent on negligent misrepresentations) or otherwise out of or in connection with the terms and conditions for any:

·         economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or

·         loss of goodwill or reputation; or

·         loss of privacy and loss of data; or

·         special or indirect losses

·         suffered or incurred by that party arising out of or in connection with the provisions of any matter under these terms and conditions.

7.5 Notwithstanding the above, subject to Section 7.1 Speedcrete' aggregate liability (whether in contract, tort or otherwise) for loss or damage shall in any event be limited to a sum equal to the amount paid or payable by you for the product(s) in respect of one incident or series of incidents attributable to the same clause.

7.6 This clause 7 does not affect your statutory rights as a consumer, nor does it affect your contract cancellation rights.

7.7 We will take all reasonable precautions to keep the details of your order and payment secure, but, unless we are negligent, we cannot be held liable for any losses caused as a result of unauthorised access to information provided by you.

7.8 The Buyer agrees to indemnify, defend and hold seller and seller’s employees, officers and directors harmless from and against any and all claims, demands, losses, damages, punitive damages, costs, expenses, causes of action or judgments of any kind or character including, without limitation, any interest, penalty, reasonable solicitor's fees and other costs and expenses incurred in connection therewith or the defence thereof (collectively the “claims”), with respect to all liabilities and obligations or alleged or threatened liabilities and obligations caused by, related to, attributable to, or arising out of the assumed obligations.

7.9 Legal Costs. In the event of legal action being instituted by the Seller against the Purchaser/s in pursuance of this Agreement, the Purchaser/s will be liable for all legal costs incurred by the Seller, calculated on a solicitor and own client scale, and including 10 % collection commission. "Legal Costs" means all reasonable costs and expenses incurred by a party to this contract in connection with any legal proceeding, including reasonable solicitors' fees, consultant's fees, court costs, and expenses.

8. Miscellaneous Provisions

8.1 The contract between us shall be governed by the laws of England and any dispute between us will be resolved exclusively in the courts of England. English is the only language offered for the conclusion of the contract.

8.2 Our maximum liability to business users arising out of or in connection with the products shall be limited to the replacement value of the product in question (except in the case of death or personal injury caused by our negligence or in respect of fraud). In relation to business users, we do not accept liability for loss of use of the item nor any loss over and above the cost of the item in the event of a claim for breach of warranty or condition.

8.3 Speedcrete shall be under no liability for any delay or failure to deliver products or otherwise perform any obligation as specified in these terms and conditions if the same is wholly or partly caused whether directly or indirectly by circumstances beyond its reasonable control.

8.4 To provide increased value to our customers, we may provide links to other websites or resources for you to access at your sole discretion. You acknowledge and agree that, as you have chosen to enter the linked website we are not responsible for the availability of such external sites or resources, and do not review or endorse and are not responsible or liable, directly or indirectly, for (i) the privacy practices of such websites, (ii) the content of such websites, including (without limitation) any advertising, content, products, goods or other materials or services on or available from such websites or resources or (iii) the use to which others make of these websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such advertising, content, products, goods or other materials or services available on such external websites or resources.

8.5 You may not assign or sub-contract any of your rights or obligations under these terms and conditions or any related order for products to any third party unless agreed upon in writing by Speedcrete.

8.6 Speedcrete reserves the right to transfer, assign, novate or sub-contract the benefit of the whole or part of any of its rights or obligations under these terms and conditions or any related contract to any third party.

8.7 If any portion of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity or enforceability of the other sections of these terms and conditions shall not be affected.

8.8 These terms and conditions do not create or confer any rights or benefits enforceable by any person that is not a party (within the meaning of the U.K. Contracts (Rights of Third Parties) Act 1999) except: a) Speedcrete CP Ltd (as defined below) shall have the right to enforce any rights or benefits under these terms and conditions; b) Speedcrete CP Ltd shall have the right to enforce and take the benefit of the rights or benefits of any limitation or exclusion or limitation of liability in these terms and conditions; c) a person who is a permitted successor or assignee under Section 8.8 above of the rights or benefits of these terms and conditions may enforce such rights or benefits. d) No consent from the persons referred to in Section 8.9 is required for the parties to vary or rescind these terms and conditions (whether or not in any way that varies or extinguishes rights or benefits in favour of such third parties).

8.9 No delay or failure by Speedcrete to exercise any powers, rights or remedies under these terms and conditions will operate as a waiver of them nor will any single or partial exercise of any such powers, rights or remedies preclude any other or further exercise of them. Any waiver to be effective must be in writing and signed by an authorised representative of Speedcrete.

8.10 These terms and conditions including the documents or other sources referred to in these terms and conditions supersede all prior representations understandings and agreements between you and Speedcrete relating to the use of this website (including the order of products) and sets forth the entire agreement and understanding between you and Speedcrete for your use of this website.

GENERAL CONDITIONS FOR THE HIRING OF EQUIPMENT

1. DEFINITIONS AND LAW
The complete contract is the document or documents that set out these Conditions and all other details relevant to a particular agreement and is hereinafter referred to as the ‘Contract’. The hired item(s) are those stated in the relevant Contract and are hereinafter referred to as the ‘Equipment’. The ‘Hirer’ is the person, firm, company, corporation, public authority or body taking the suppliers Equipment on hire. The parties to the contract are the Supplier of the Equipment and the Hirer named in the contract and where applicable any person purporting to act on behalf of the Hirer. In these conditions, ‘Consequential Loss’ shall include any loss of contracts or loss of profits whatsoever.
These conditions have effect in substitution for, and to the exclusion of, any conditions put forward by the Hirer.
This contract shall be governed and construed in accordance with the law of Scotland or England (UK) whichever is applicable.

2. BASIS OF CHARGING
The Hirer will pay the hire charges stated in the Contract. Hire charges will commence from the time stated in the contract and will continue during the period of hire until a collection or Off Hire number has been given by the supplier to the Hirer or until the Equipment is restored to the supplier in a clean and serviceable condition against the suppliers receipt. All time is chargeable, including Saturday, Sunday, Bank Holidays etc. All charges are payable on demand. If payment is not made on due date the supplier will be entitled to interest on the amount that is overdue at the contemporary base rate of the National Westminster Bank PLC plus 4% calculated on a daily basis. This shall be without prejudice to any other rights or remedies of the supplier. Any charges reasonably incurred in the recovery of money or Equipment will be paid by the Hirer.

3. DELIVERY AND CARRIAGE CHARGES
All times quoted or stated for the delivery are approximate only. Hire charges do not include carriage. Any expenses incurred by the Supplier in delivering or collecting Equipment or attempting the same, will be paid by the Hirer. Where carriage charges are quoted by the supplier, such charges will include only for the time required to load or unload alongside the supplier’s vehicle at the address specified by the Hirer. Further time or attendance will be paid for by the Hirer.

4. MAXIMUM PERIOD OF AGREEMENT (if Hirer is not a Limited Company)
If the Hirer is an individual or partnership (including an unincorporated body or persons) and not a Limited Company the Contract will terminate not later than three months from the commencing date of the period of hire. In such circumstances the Hirer will, not later than close of business on the penultimate day of the said three months, restore the Equipment to the Supplier. Equipment not restored to the supplier will be subject to a charge equating to the financial loss to the supplier.

5. WHEN THE CONTRACT COMES INTO BEING
The contract shall come into being between the Hirer and the Supplier when the Hirer has placed an order detailing his requirements and agreeing to be bound by these Conditions, and the supplier has accepted the order.

6. RESPONSIBILITIES OF THE HIRER AND PERSON MAKING THE CONTRACT
The person making the contract warrants that he has authority of the Hirer to make this contract on the Hirer’s behalf and hereby agrees to indemnify the supplier against all losses and costs that may be incurred by the supplier if this is not so. The said person and Hirer jointly and severally hereby undertake to ensure that no-one uses the Equipment who is not properly instructed in it’s safe and proper operation and to ensure that every user is in possession of instructional material (if any) supplied by the supplier and will not allow the Equipment to be misused.

7. WHEN SIGNATURE FOR RECEIPT OF EQUIPMENT BECOMES EFFECTIVE
Where for administrative convenience, the Hirer or his agent is requested by the supplier to sign for the receipt of the Equipment before the Equipment is handed over, the Hirer or his agent will examine the Equipment at the time of the physical hand-over and the effect of such signature shall not become effective until immediately after the physical hand-over.

8. RESPONSIBILITY OF HIRER
The Hirer will be responsible for the loading and unloading of the Equipment at the address specified by the Hirer, and likewise at the suppliers premises when transported by the Hirer, or his agent and any person supplied by the supplier shall be deemed to be an employee of the Hirer or his agent at such times.
The Hirer’s responsibility for the Equipment commences on the receipt of the Equipment of the Hirer or his agent or on delivery as requested and ends only when the Hirer is in possession of the supplier’s unqualified receipt for all the Equipment. The Hirer will not sell or otherwise part with control of the Equipment.
The Hirer will at all times and in all respects indemnify the supplier against and from, any and every expense, liability, financial loss, claim or proceedings whatsoever and in respect of any personal injury whatsoever or damage to or loss of any property whatsoever (other than the Equipment itself which shall be governed by conditions 13 & 14) arising out of or in connection with or consequent upon the delivery, use, non-use, repossession, collection, return or non-return of the Equipment or any part thereof.
Nothing in this clause shall effect the statutory rights of the Hirer or purport to exclude any liability which may not be excluded under the Unfair Contract Terms Act 1977 or any statutory modification thereof.

9. ELECTRICAL EQUIPMENT
Where the Equipment is electrical in part or in whole it should normally be used with plugs and/or sockets as fitted but if temporarily fitted with other suitable plugs or sockets this must be carried out by a competent person who must also reinstate it to it’s original condition. It will be the Hirer’s responsibility at all times to arrange a suitable supply of electricity for use with the Equipment. Under no circumstances should electrical Equipment be used without it being correctly earthed unless it is of double insulated specification. The Hirer will be responsible for complying with the requirements of the Electricity at Work regulations 1989 during the period of the Hirer’s responsibility for the equipment as defined in Clause 8(ii) of these conditions.

10. MAINTENANCE OF EQUIPMENT, BREAKDOWN PROCEDURES AND ACCIDENT REPORTING
The Hirer will keep himself acquainted with the state and condition of the Equipment and ensure that it remains safe, serviceable and clean. Any breakdown or any unsatisfactory working of Equipment must be immediately notified to the supplier. Under no circumstances will the Hirer repair or attempt to repair the Equipment unless authorized by the supplier. The Equipment must be returned to the Supplier’s premises for examination except where examination elsewhere has been mutually agreed. If the Equipment is involved in an accident resulting in damage to the Equipment or other property or injury to any person, the Hirer will notify the Supplier immediately.

11. REMOVAL OF EQUIPMENT
Equipment must not be removed from any site originally specified by the Hirer or from any subsequently authorized site without the authority of the Supplier.

12. CONSEQUENTIAL LOSSES
The supplier shall not be liable for any consequential loss to the Hirer including expenses, liability, loss, claim or proceeding whatsoever caused by or arising out of the late delivery, unsuitability or lawful repossession of the Equipment or any part thereof or any breakdown or stoppage of the Equipment. Nothing in this clause shall affect the rights of a person dealing as a consumer as defined by the Unfair Contract Terms Act 1977 or any statutory modification thereof.

13. INSURANCE AND RESPONSIBILITY FOR LOST, STOLEN OR DAMAGED EQUIPMENT
The Hirer agrees to pay the Supplier the full replacement cost of any Equipment which is lost or stolen or damaged beyond economic repair and should insure the goods on this basis. All monies received by the Hirer from an insurance company or from any other source in settlement of any claim relating to the loss, theft or damage of any Equipment shall, to the extent that any payment is due to the supplier under this condition shall be deposited into a separate and specific bank account, opened for the purpose only of receiving such funds and designated as funds held in trust for the supplier, and shall be held in trust by the Hirer and paid to the supplier on demand. The Hirer shall not compromise any claim without the express consent of the supplier.

14. NON-RETURNED, LOST, STOLEN, DAMAGED OR UNCLEAN EQUIPMENT
The Hirer accepts full responsibility for the care and safekeeping and return in good order of the Equipment.
The Hirer will pay to the Supplier all costs incurred by the Supplier in rectifying the condition of any Equipment returned damaged or unclean. Additionally the Hirer will pay to the supplier a charge equating to the financial loss to the supplier until such rectification is complete.
Where Equipment is lost, stolen, or damaged beyond economic repair the Hirer accepts liability to pay for all financial loss to the supplier until the liability referred to in Condition 13 is discharged. The Hirer’s liability under this Condition shall be without prejudice to any other rights of the supplier.

15. DETERMINATION OF HIRE
The supplier shall be entitled at any time if the Hirer is in breach of his contract, or if any act or proceeding in which the Hirer’s solvency is involved is commenced, to terminate this contract (such termination to be effective immediately) and to repossess the Equipment or part thereof. Such termination shall not affect the right of the supplier to recover from the Hirer any monies due under this Contract or damage for breach thereof.

16. RIGHTS OF ACCESS
The hirer hereby authorizes the supplier (upon production of this document) to enter upon any land or premises wherein the Supplier reasonably believes any Equipment or any part thereof to be, and in so far as the Supplier in his absolute discretion deems necessary, to inspect, repair, replace or repossess the same.

17. RIGHTS RESERVED
Any failure by the supplier to enforce any or all of these Conditions shall not be construed as a waiver of any of the Suppliers rights hereunder.

18. SEPARATE TERM VALIDITY
Should any term in this contract be held invalid, such invalidation shall not affect the validity of the remaining terms. Headings in these conditions are for the reference purposes only and shall not affect the interpretation of these Conditions.

SUPPLIER TERMS & CONDITIONS

Terms & conditions: Suppliers

Effective from 3 January 2012

Unless expressly agreed otherwise in writing by the Speedcrete Group of Companies, signed by a Duly Authorised Representative thereof, these are the ONLY terms and conditions on which the Speedcrete Group of Companies is prepared to contract with you (the “Supplier”) in relation to the sale of goods and supply of services by the Supplier.

The Speedcrete Group of Companies consists of: Speedcrete CP Limited (registered company no. 4973450); Speedcrete Concrete Pumping (registered company no. 1910944); and any other entity which from time to time is a group company or affiliated company of any of the above entities (including any subsidiary or holding company of that entity or any subsidiary of any direct or indirect holding company of that entity),each being a "Group Company" and collectively being referred to as the "Group" for the purposes of these terms and conditions, as updated from time to time by the Group (the "Terms").

  1. DEFINITIONS

In these Terms (unless context requires otherwise):

1.1  “Contract” shall mean an Order placed by a Group Company with the Supplier for the supply of goods and/or services together with these Terms.

1.2  “Deliverables” shall mean all documents, products and materials developed by the Supplier or its agents, contractors and employees as part of or in relation to the Services in any form or media.

1.3  “Duly Authorised Representative” shall mean the Managing Director, the Group Procurement Manager and the General Manager.

1.4  “Goods” shall mean the goods (or any part of them) set out in the Order.

1.5  "Group Materials" shall mean all materials, equipment, tools, drawings, specifications, computer programmes, information and data, on whatever media, supplied by any Group Company to the Supplier.

1.6  "Losses" shall mean all costs (including legal costs and costs of enforcement), expenses, liabilities (including any tax liability), injuries, direct, indirect or consequential loss (all three of which terms include pure economic loss, loss of profits, loss of business, depletion of goodwill and loss of opportunity to deploy resources elsewhere), damages, claims, demands, proceedings and judgments.

1.7  “Order” means an order placed by any Group Company for Goods or Services.

1.8  “Services” shall mean the services, including without limitation any Deliverables, to be provided by the Supplier under the Contract as set out in the Order.

1.9  "TUPE" shall mean the Transfer of Undertakings (Protection of Employment) Regulations 2006, as amended from time to time.

  1. CONSTRUCTION OF CONTRACT

2.1  Where an Order is placed by a Group Company that Order together with these Terms (together a Contract) will constitute a separate binding and enforceable contract between the Supplier and the relevant Group Company placing the Order. These Terms are automatically deemed incorporated into each and every Contract, subject to any permitted variation provided for under these Terms, and shall accordingly govern the same. Where there is any manifest inconsistency between the provisions of these Terms and any Order, the provisions of the Order will apply.

2.2  The terms of each Contract shall apply as between the parties in respect of the matters described in the Order to the exclusion of all other terms (including any terms and conditions that the Supplier purports to apply). Any attempt by you (or on your behalf) as the Supplier to impose any other terms or conditions to the trading relationship with any Group Company is hereby explicitly and expressly deemed automatically rejected in advance (and any such terms and conditions are likewise deemed rejected automatically in advance) and will be (and is) wholly ineffective and non-binding upon each and every Group Company. No terms other than these Terms are or will be acceptable to the Group, save as expressly agreed and physically signed in writing by a Duly Authorised Representative agreeing to a variation to these Terms in accordance with these Terms.

2.3  These Terms are automatically deemed accepted by you as the Supplier upon the earlier of (i) the Supplier accepting a Group Company’s Order; or (ii) the Supplier supplying any Goods to or commencing the provision of any Services for any Group Company. Save as expressly agreed and physically signed in writing by a Duly Authorised Representative, these Terms will apply to your entire relationship and all dealings with any Group Company. There is no need for any Group Company to issue you with duplicate copies of these Terms when each Contract is entered into and there is no obligation on any Group Company to do so. Failure to provide a copy of these Terms with each Contract shall not in any way prejudice the fact that these Terms shall govern each Contract as provided for herein.

2.4  The supplier reserves the right to cancel the contract at any point up to the point of delivery

  1. DELIVERY

3.1  The time of delivery and performance is of the essence of the Contract and delivery shall be strictly in accordance with the Order. The relevant Group Company may reject any Goods or Services not delivered or provided on or before the delivery date specified in the Order without prejudice to its rights against the Supplier, whether for breach of contract or otherwise.

3.2  Unless otherwise agreed delivery shall be made at the Delivery Address specified in the Order or if none is specified, at the relevant Group Company’s premises and all packing and transport costs shall be for the account of the Supplier.

3.3  Title in the Goods and any Deliverables shall pass to the relevant Group Company when payment is made, in whole or in part or upon delivery, whichever first occurs.

3.4  Risk in the Goods and any Deliverables shall pass to the relevant Group Company upon delivery.

3.5  Any partial delivery or performance shall be deemed a failure by the Supplier to deliver or perform in accordance with the Contract unless expressly agreed in advance and in writing with the relevant Group Company.

  1. PRICE AND PAYMENT

4.1  Unless otherwise agreed the price for the Goods and Services supplied under any Contract shall be that specified on the relevant Order issued by the relevant Group Company or if not so specified shall not be higher than the lower of the last price for the same provided to the relevant Group Company and the Supplier’s then-current standard pricing for the same based on equivalent quality and quantity standards.

4.2  The price specified, in the Order or otherwise determined as set out above or agreed in writing, is a fixed price and the Supplier shall not be entitled to increase the price for any reason whatsoever.

  1. WARRANTY AND QUALITY

5.1  The Supplier warrants, represents and undertakes that:

       (a) any Goods supplied will on delivery be new and unused and free from defects either in material or workmanship and that they will be suitable for any purpose for which they are required and which shall have been made known by the relevant Group Company to the Supplier, of merchantable quality, that they will conform strictly to any specifications, drawings or patterns supplied by the relevant Group Company to the Supplier or in relation to which they were offered for sale, that they comply with relevant EC Directives concerning Health & Safety and UK legislation, including The Provision and Machinery (Safety) Regulations 1992 and the Supply of Machinery (Safety) Regulations 1994, and that they will conform strictly to any sample which may have been submitted by or to the relevant Group Company but without any defect which such sample may have:

       (b) it shall perform the Services with all due skill and care and in accordance with the best practice in the field in which the Services are supplied and any officers, agents, employees, personnel or sub-contractors which it uses to provide the Services shall be suitably skilled and experience and shall adhere to the same standards;

       (c) the Services, Goods and Deliverables will conform with all descriptions and specifications set out in the Order and will be fit for any purpose expressly or impliedly made known to the Supplier by the relevant Group Company,;

       (d) it shall provide all equipment, tools , vehicles and other such items as are required to perform the Contract at its own cost;

       (e) it shall obtain and at all times maintain all necessary licences and consents in order to perform the Contract and comply with all applicable laws and regulations when performing the Contract;

       (f) it shall observe all health and safety rules and regulations and any other security requirements that apply at any Group Company premises;

       (g) it shall hold all Group Materials in safe custody at its own risk, maintain the Group Materials in good condition until returned to the relevant Group Company and not dispose of or use the Group Materials other than in accordance with the Contract or such other written instructions or authorisation provided by the relevant Group Company;

       (h) it shall not do or omit to do anything which may cause the Group to lose any licence, authority, consent or permission upon which it relies for the purposes of conducting its business and the Supplier acknowledges that the Group may rely or act on the Services.

5.2   At any time prior to delivery of the Goods to the relevant Group Company, it shall have the right to inspect and test the Goods or Deliverables at all times.

5.3   If the results of such inspection or testing cause the relevant Group Company to be of the opinion that the Goods or Deliverables do not conform or are unlikely to conform with the Order, the Contract or to any specifications and/or patterns supplied or advised by the relevant Group Company to the Supplier, the relevant Group Company shall inform the Supplier and the Supplier shall immediately take such action as is necessary to ensure conformity and in addition the relevant Group Company shall have the right to require and witness further testing and inspection.

5.4   Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for all aspects of the quality of the Goods or Deliverables and any such inspection or testing shall not diminish or otherwise affect the Supplier's obligations under any Contract.

5.5   If any of the Goods or Deliverables fail to comply with the provisions set out in this clause 5 the relevant Group Company shall be entitled to avail itself of any one or more remedies listed in clause 12.

  1. INDEMNITY

6.1  The Supplier shall keep the Group indemnified at all times and in full against all Losses awarded against or incurred or paid by the Group as a result of or in connection with:

       (a) any claim made against any Group Company by a third party for death, personal injury or damage to property arising out of, or in connection with, defects in Goods or Deliverables, to the extent that the defect in the Goods or Deliverables is attributable to the acts or omissions of the Supplier, its employees, agents or subcontractors;

       (b) any claim made against any Group Company by a third party arising out of, or in connection with, the supply of the Goods or Deliverables or Services, to the extent that such claim arises out of the breach, negligent performance or failure or delay in performance of the Contract by the Supplier, its employees, agents or subcontractors; or

       (c) any claim made against any Group Company for actual or alleged infringement of a third party's intellectual property rights or other rights arising out of, or in connection with, the manufacture, supply or use of the Goods or Deliverables, or receipt, use or supply of the Services.

6.2  For the duration of the Contract and for a period of six years thereafter, the Supplier shall maintain in force, with a reputable insurance company, professional indemnity insurance, product liability insurance and public liability insurance to cover the liabilities that may arise under or in connection with each Contract and shall, on the Group’s request, produce both the insurance certificate giving details of cover and the receipt for the current year's premium in respect of each insurance.

6.3  This clause 6 shall survive termination of the Contract

  1. GROUP'S GOODS AND MATERIALS

7.1  All Group Materials supplied by or on behalf of the relevant Group Company, are and shall remain the property of the relevant Group Company, and shall not be copied, or used in any way whatsoever except in connection with supply of Goods, Deliverables and Services pursuant to this Contract. If any are damaged or destroyed while in the Supplier's possession or control the Supplier shall on demand pay to the relevant Group Company the cost to the relevant Group Company of repairing or (at the relevant Group Company's option) replacing them.

7.2  The Supplier must check all Group Materials supplied to it by or on behalf of the relevant Group Company and notify the relevant Group Company in writing of any defects or discrepancies forthwith.

7.3  Title to and all rights (including copyright and any other intellectual property rights) in any additions to Group Materials supplied by or on behalf of the relevant Group Company shall, in so far as the relevant Group Company shall not be entitled thereto by operation of law, forthwith vest in and are hereby assigned to the relevant Group Company.

7.4  The Supplier shall not be entitled to any lien on any such materials, documents, data and computer programmes for sums due for work done under the Contract or otherwise.

7.5  The relevant Group Company shall be entitled to enter the Supplier's premises and remove all Goods, Deliverables, materials, documents, data and computer programmes to which the relevant Group Company is entitled.

7.6  The Supplier will redeliver such Group Materials including any copies, extracts and abstracts thereof to the relevant Group Company in good and serviceable condition.

7.7  This clause 7 shall survive termination of the Contract.

  1. INTELLECTUAL PROPERTY

8.1  In respect of the Goods and any goods that are transferred to any Group Company as part of the Services under a Contract, including without limitation the Deliverables or any part of them, the Supplier warrants, represents and undertakes that it has and will have full clear and unencumbered title to all such items and that at the date of delivery of such items to the relevant Group Company, it will have full unrestricted rights to sell and transfer all such items to the relevant Group Company.

8.2  The Supplier hereby assigns to the relevant Group Company, with full title guarantee and free from all third party rights, all intellectual property rights in the products of the Services, including, but not limited to the Deliverables.

8.3  The Supplier shall obtain waivers of all moral rights in the products of the Services, including for the avoidance of doubt the Deliverables, to which any individual is now or may be at any future time entitled under Chapter IV of Part I of the Copyright Designs and Patents Act 1988 or any similar provisions of law in any jurisdiction.

8.4  The Supplier shall, promptly at the relevant Group Company's request, do (or procure to be done) all such further acts and things and execute all such other documentation as the relevant Group Company may from time to time require for the purpose of securing for the relevant Group Company the full benefit of any Contract, including all right, title and interest in and to the intellectual property rights assigned to the relevant Group Company in accordance with clause 8.2.

8.5  All Group Materials are the exclusive property of the relevant Group Company.

8.6  This clause 8 shall survive termination of the Contract.

  1. NOTICES

Any notification hereunder shall be in writing and where given by the relevant Group Company by first class registered or recorded delivery to the Supplier's address given in the Order, shall be deemed to have been received by the Supplier at the expiration of two days from posting in the case of inland and five days from posting in the case of overseas letters.

  1. CANCELLATION, SUSPENSION AND TERMINATION

10.1  The relevant Group Company may by notice in writing to the Supplier cancel or vary any Contract formed pursuant hereto and or suspend or postpone the manufacture and delivery of the Goods or any part thereof and all costs necessarily incurred by the Supplier as a result thereof which cannot be mitigated by the Supplier using its best endeavours to do so shall be borne by the relevant Group Company. The date of delivery shall, if necessary, be extended to such later date(s) as shall be reasonable having regard to the period of such suspension or postponement or nature of the variation.

10.2  Without limiting its other rights or remedies, the relevant Group Company may terminate any and all Contracts with immediate effect by giving written notice to the Supplier if:

        (a) the Supplier commits a material or persistent breach of a Contract and (if such a breach is remediable) fails to remedy that breach within [28] days of receipt of notice in writing of the breach;

        (b) the Supplier suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being an individual) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply;

        (c) the Supplier commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors;

        (d) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of the Supplier (being a company) other than for the sole purpose of a scheme for a solvent amalgamation of the Supplier with one or more other companies or the solvent reconstruction of the Supplier;

        (e) a creditor or encumbrancer of the Supplier attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within seven days;

        (f) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Supplier (being a company);

        (g) a floating charge holder over the assets of the Supplier (being a company) has become entitled to appoint or has appointed an administrative receiver;

        (h) any event occurs, or proceeding is taken, with respect to the Supplier in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in sub-clauses 10.2(b) to clause 10.2(g) (inclusive);

        (i) the Supplier suspends or threatens to suspend, or ceases or threatens to cease to carry on, all or a substantial part of its business; or

        (j) the Supplier (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

10.3  Without limiting its other rights or remedies, the relevant Group Company may terminate any Contract:

        (a) in respect of the supply of Services, by giving the Supplier 14 day’s written notice; and

        (b) in respect of the supply of Goods, with immediate effect by giving written notice to the Supplier, in which case the relevant Group Company shall pay the Supplier fair and reasonable compensation for any work in progress on any other Goods at the date of termination but such compensation shall not include loss of anticipated profits or any consequential loss.

10.4  In any of the circumstances in these Terms in which the relevant Group Company may terminate a Contract, where both Goods and Services are supplied, the relevant Group Company may instead terminate part of the Contract in respect of the Goods, or in respect of the Services, and the Contract shall continue in respect of the remaining supply.

  1. CONSEQUENCES OF TERMINATION

11.1  On termination of any Contract for any reason:

        (a) the Supplier shall immediately deliver to the relevant Group Company all Goods that have been paid for but not yet delivered and where Services are terminated, all Deliverables, whether or not then complete, and return all Group Materials. If the Supplier fails to do so, then the relevant Group Company may, without limiting its other rights or remedies enter the Supplier's premises and take possession of them. Until they have been returned or delivered, the Supplier shall be solely responsible for their safe keeping and will not use them for any purpose not connected with the relevant Contract;

        (b) the accrued rights and remedies of the parties as at termination shall not be affected, including the right to claim damages in respect of any breach of any Contract which existed at or before the date of termination;

        (c) clauses which expressly or by implication have effect after their termination shall continue in full force.

  1. REMEDIES

12.1  If the Supplier fails to deliver the Goods or Deliverables and/or perform the Services by the applicable date(s) specified in the relevant Order, the relevant Group Company shall, without limiting its other rights or remedies, have one or more of the following rights:

         (a) to terminate any or all Contracts with immediate effect by giving written notice to the Supplier;

         (b) to refuse to accept any subsequent performance of the Services and/or delivery of the Goods or Deliverables which the Supplier attempts to make;

         (c) to recover from the Supplier any costs incurred by the relevant Group Company in excess of what would have been paid to the Supplier in obtaining substitute Goods or Deliverables and/or Services from a third party;

         (d) where the relevant Group Company has paid in advance for Services that have not been provided by the Supplier and/or Goods or Deliverables which have not been delivered by the Supplier, to have such sums refunded by the Supplier; and

         (e) to claim damages for any additional Losses incurred by the relevant Group Company which are in any way attributable to the Supplier's failure to meet such dates.

12.2  If the Supplier has delivered Goods or Deliverables that do not comply with the Contract, without limiting its other rights or remedies, the relevant Group Company shall have one or more of the following rights, whether or not it has accepted the Goods or Deliverables:

        (a) to reject the Goods or Deliverables (in whole or in part) whether or not title has passed and to return them to the Supplier at the Supplier's own risk and expense;

        (b) to terminate any or all Contracts with immediate effect by giving written notice to the Supplier;

        (c) to require the Supplier to repair or replace the rejected Goods or Deliverables, or to provide a full refund of the price of the rejected Goods or applicable Services (if paid);

        (d) to refuse to accept any subsequent delivery of the Goods or Deliverables which the Supplier attempts to make;

        (e) to recover from the Supplier any expenditure incurred by the relevant Group Company in obtaining substitute goods from a third party in excess of what would have been paid to the Supplier; and

        (f) to claim damages for any additional Losses incurred by the relevant Group Company arising from the Supplier's failure to supply Goods or Deliverables in accordance with the Contract.

12.3 In the event of the supplier having to attend Group Company premises the relevant Group Company shall, without limiting its other rights or remedies, have one or more of the following rights:

(a) to notification of date and time of supplier visit in writing a minimum 24 hours in advance.

(b) to levy a charge for missed or cancelled appointments unless notification is received in writing 24 hours prior to the appointment. Failure to notify the relevant Group Company contact will result in a missed appointment charge at the relevant hourly rate plus any travel costs and expenses incurred.

12.4  These Terms shall extend to any substituted or remedial Services and/or repaired or replacement Goods or Deliverables supplied by the Supplier and are in addition to (and do not in any way prejudice) any other rights or remedies any Group Company may have available to it at law, in equity or otherwise.

  1. CONFIDENTIALITY

The Supplier shall keep in strict confidence all technical or commercial information, know-how, specifications, inventions, processes or initiatives which are of a confidential or commercially sensitive nature and have been disclosed to the Supplier by or on behalf of any Group Company or its agents and any other confidential information concerning any Group Company's business or its prices or products which the Supplier may obtain and the Supplier shall restrict disclosure of such confidential material to such of its employees, agents or sub-contractors as need to know the same for the purposes of discharging the Supplier's obligations to any Group Company and shall ensure that such employees, agents or sub-contractors are subject to the same obligations of confidentiality as bind the Supplier. For the avoidance of doubt, this clause 13 shall survive termination of the Contract.

  1. TUPE

14.1  The parties to the Contract agree and accept that TUPE is unlikely to apply in respect of the arrangements contemplated by any Contract.

14.2  Notwithstanding the above, in the event that TUPE is deemed to apply or any third party (including but not limited to the Supplier's personnel) claims that TUPE applies, the Supplier shall indemnify every Group Company in full in relation to any Losses incurred by any Group Company as a result of the transfer or deemed transfer (or claimed transfer) of any of the Supplier's personnel or other third party to a Group Company pursuant to the operation of TUPE and/or the termination by a Group Company or pursuant to TUPE of any of the Supplier's personnel or other third party.

14.3  For the avoidance of doubt, if any of the Supplier's personnel or other third party is deemed to have transferred to a Group Company pursuant to TUPE or otherwise, the relevant Group Company to whom they are deemed to have transferred shall be entitled to terminate their employment and the Supplier shall fully indemnify every Group Company in relation to all Losses resulting from such termination.

  1. NO PARTNERSHIP

The Supplier and each Group Company are independent contractors with respect to each other and nothing in any Contract shall create an association, partnership, joint venture or agency relationship between them.

  1. ASSIGNMENT & SUB CONTRACTING

The Supplier shall not assign or sub contract or otherwise make over any of its rights without the prior written permission of the Group.

  1. WAIVER

The failure or neglect of any Group Company to enforce at any time any of the provisions of any Contract formed pursuant hereto shall not be construed nor shall be deemed to be a waiver of the any Group Company’s rights under any Contract nor in any way shall such a failure or neglect effect the validity of the whole or any part of any Contract nor prejudice any Group Company's right to take subsequent action.

  1. SEVERANCE

If any provision in these Terms (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part provision, to the extent required, shall be deemed not to form part of these Terms, and the validity and enforceability of the other provisions of these Terms shall not be affected.

  1. GOVERNING LAW

Each Contract shall be subject to English law and the parties hereby irrevocably submit to the exclusive jurisdiction of the English Courts.

  1. OTHER RIGHTS AND REMEDIES

Nothing in these Terms shall prejudice any condition or warranty, express or implied, or any right or remedy to which the Group is entitled in relation to the Goods, Deliverables and Services by virtue of statute, common law or other.
